Terms of Service
The terms that govern your use of Culture Wheel.

1. Acceptance of Terms & Eligibility
These Terms of Service ("Terms") constitute a legally binding agreement between the company or entity you represent ("Customer," "you," or "your") and Culture Wheel, Inc. ("Culture Wheel," "we," "us," or "our"). By accessing or using the Culture Wheel platform at culturewheel.com or any associated services (collectively, the "Service"), you agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you may not access or use the Service.
To register for an account and enter into these Terms, you represent and warrant that:
- You are at least 18 years of age.
- You are an authorized representative of the company or organization on whose behalf you are subscribing to the Service, and you have the authority to bind that organization to these Terms.
- The information you provide during registration is accurate, current, and complete.
Culture Wheel is a business-to-business service. Individual consumers who are not acting on behalf of a company or organization are not eligible to subscribe to the Service. Employees and team members who are granted access by a Customer ("End Users") are subject to these Terms through their organization's subscription.
2. Description of Services
Culture Wheel is a cloud-based human resources and team performance platform that provides the following capabilities:
- Performance Reviews — Structured review cycles with customizable templates, self-assessments, manager evaluations, goal tracking, and performance history.
- 360-Degree Reviews — Multi-rater feedback collection from peers, managers, direct reports, and cross-functional colleagues with anonymous response options.
- Peer Recognition — A system for employees to recognize colleagues for contributions aligned with company values, with visibility across the organization.
- eNPS Surveys — Employee Net Promoter Score pulse surveys to measure and track employee engagement and satisfaction over time.
- DISC Assessments — Behavioral assessments based on the DISC framework to help teams understand communication styles and working preferences.
- Employee Profiles — Centralized profiles containing role information, team membership, assessment results, and performance history.
- Company Directory — A searchable organizational directory with team structures, reporting relationships, and contact information.
All features listed above are included in every subscription plan. Culture Wheel does not gate features behind higher-priced tiers. The Service may be updated, expanded, or modified from time to time at our discretion.
3. Account Registration & Security
To use the Service, you must create an organizational account by providing your company name, a valid business email address, and other requested information. You are responsible for:
- Maintaining the confidentiality of your account credentials, including passwords and any API keys or access tokens.
- All activity that occurs under your account, whether or not authorized by you.
- Ensuring that all End Users who access the Service through your account comply with these Terms.
- Promptly notifying Culture Wheel at security@culturewheel.com of any unauthorized access to or use of your account.
Culture Wheel reserves the right to suspend or disable any account that we reasonably believe has been compromised or is being used in violation of these Terms. We are not liable for any loss or damage arising from your failure to maintain the security of your account credentials.
4. Subscription, Billing & Payment
Culture Wheel uses flat-rate monthly pricing. Your subscription fee is determined by the size of your team at the time of enrollment and includes access to all platform features. There are no per-seat charges, and no features are withheld based on plan level.
- Billing Cycle. Subscriptions are billed monthly on the same calendar date as your initial subscription date (or the last day of the month if the original date does not exist in a given month).
- Auto-Renewal. Your subscription will automatically renew at the end of each monthly billing cycle at the then-current rate unless you cancel before the renewal date.
- Payment Method. You must provide a valid payment method (credit card or other accepted method) on file. You authorize Culture Wheel to charge your payment method for all fees incurred under your subscription.
- Price Changes. We may adjust pricing with at least 30 days' prior written notice. Price changes take effect at the start of your next billing cycle following the notice period.
- Late Payments. If payment fails, we will attempt to process the charge again over a 7-day grace period. If payment remains unsuccessful, we reserve the right to suspend access to the Service until the outstanding balance is resolved.
- Taxes. All fees are exclusive of applicable taxes. You are responsible for all sales, use, VAT, or other taxes imposed by any governmental authority with respect to your subscription, excluding taxes based on Culture Wheel's net income.
Cancellation requests must be submitted through your account settings or by contacting billing@culturewheel.com. Cancellations take effect at the end of the current billing cycle. No prorated refunds are issued for partial months.
5. Free Trial
Culture Wheel offers a 14-day free trial to new Customers. The free trial provides full access to all Service features with no credit card required to begin.
- Trial Duration. The trial period begins on the date you create your account and expires 14 calendar days later.
- Conversion to Paid Subscription. At the end of your trial, you will be prompted to select a subscription plan and provide a payment method. If you do not subscribe, your access to the Service will be suspended.
- No Automatic Charges. Because no payment information is collected at trial sign-up, you will not be charged automatically when the trial expires. You must affirmatively choose to subscribe.
- Data Retention. If you do not convert to a paid subscription within 30 days of your trial expiration, we reserve the right to delete your trial account and all associated data.
- Limitations. Free trials are limited to one per organization. Culture Wheel reserves the right to modify, suspend, or discontinue the free trial offer at any time.
6. Data Ownership
You retain all right, title, and interest in and to any data, content, feedback, survey responses, assessment results, employee information, and other materials that you or your End Users submit to the Service ("Customer Data"). Culture Wheel does not claim ownership of Customer Data.
By using the Service, you grant Culture Wheel a limited, non-exclusive, worldwide license to access, use, process, store, transmit, and display Customer Data solely for the purposes of:
- Providing, maintaining, and improving the Service.
- Generating aggregated, de-identified analytics that do not identify any individual or organization (e.g., industry benchmarks, platform-wide engagement trends).
- Complying with applicable law or responding to valid legal process.
This license terminates when you delete Customer Data from the Service or when your subscription ends, subject to our data retention obligations and the data export window described in Section 13. Culture Wheel will not sell, rent, or share Customer Data with third parties for their own marketing or advertising purposes.
7. Customer Responsibilities
You agree to use the Service in compliance with all applicable laws and regulations. Without limiting the foregoing, you and your End Users shall not:
- Use the peer recognition system to harass, bully, intimidate, or demean any individual. Recognition messages must be professional and constructive.
- Submit false, misleading, or malicious feedback in performance reviews, 360 reviews, or eNPS surveys with the intent to harm another person's career or reputation.
- Attempt to de-anonymize anonymous feedback or survey responses, or retaliate against any individual based on suspected authorship of anonymous feedback.
- Use the Service to collect, store, or process data that you do not have the legal right to collect, including sensitive personal information beyond what is necessary for legitimate HR purposes.
- Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the Service.
- Interfere with or disrupt the integrity, performance, or security of the Service or its underlying infrastructure.
- Use automated scripts, bots, or scrapers to access the Service except through our published APIs.
- Sublicense, resell, or redistribute access to the Service to third parties outside your organization.
- Upload or transmit any viruses, malware, or other harmful code through the Service.
You are responsible for establishing and communicating your own internal policies regarding appropriate use of the Service, including guidelines for providing constructive feedback and using recognition features. Culture Wheel is not responsible for the content of feedback, reviews, or recognition messages submitted by your End Users.
8. Intellectual Property
The Service, including all software, code, design, text, graphics, logos, icons, user interface elements, review templates, survey frameworks, assessment methodologies, and documentation, is the exclusive property of Culture Wheel, Inc. and is protected by United States and international copyright, trademark, patent, and trade secret laws.
"Culture Wheel" and the Culture Wheel logo are registered trademarks of Culture Wheel, Inc. You may not use our trademarks without prior written permission except to identify Culture Wheel as a service provider you use, in a manner consistent with standard trademark usage guidelines.
Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during the term of your subscription, solely for your internal business purposes. No other rights are granted, whether by implication, estoppel, or otherwise.
9. Confidentiality
Both parties acknowledge that in connection with these Terms, each party may have access to confidential information of the other party ("Confidential Information"). Confidential Information includes, but is not limited to:
- Customer Confidential Information: Employee performance reviews, 360-degree feedback responses, eNPS survey results, DISC assessment outcomes, recognition messages, organizational structure, and employee personal information.
- Culture Wheel Confidential Information: Proprietary technology, product roadmaps, pricing models, business strategies, and non-public technical documentation.
Each party agrees to: (a) hold the other party's Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party except as necessary to perform obligations under these Terms and only under confidentiality obligations at least as protective as those herein; and (c) not use Confidential Information for any purpose other than as contemplated by these Terms.
Culture Wheel places special emphasis on the confidentiality of feedback data. Anonymous 360 review responses and eNPS survey submissions are architecturally separated from identifying information. We will not disclose the identity of anonymous respondents to the Customer or any End User, except as required by law.
10. Service Availability
Culture Wheel will use commercially reasonable efforts to maintain the availability of the Service. However, we do not guarantee uninterrupted, error-free, or continuously available access to the Service. The Service may be temporarily unavailable due to:
- Planned Maintenance. We will provide at least 48 hours' advance notice for scheduled maintenance windows via email or in-app notification. We will endeavor to schedule maintenance during off-peak hours.
- Emergency Maintenance. Urgent security patches or critical bug fixes may require unscheduled downtime. We will notify you as soon as reasonably practicable in such cases.
- Third-Party Dependencies. Disruptions to third-party infrastructure providers (such as cloud hosting, CDNs, or payment processors) that are outside our reasonable control.
- Force Majeure Events. Natural disasters, government actions, or other events described in Section 18.
These Terms do not include a formal Service Level Agreement (SLA). Enterprise customers requiring guaranteed uptime commitments should contact sales@culturewheel.com to discuss a custom SLA arrangement.
11. Modifications to Service & Terms
Culture Wheel reserves the right to modify, update, or discontinue any aspect of the Service at any time. We may add new features, change existing functionality, or retire capabilities as the platform evolves.
We may revise these Terms from time to time. For material changes that adversely affect your rights or obligations, we will provide at least 30 days' prior written notice via email to the address associated with your account. Non-material changes (such as corrections of typographical errors or formatting updates) may be made without advance notice.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the changes, you must discontinue use of the Service before the changes take effect. In such cases, you may cancel your subscription without penalty and will receive a prorated refund for any prepaid but unused portion of your current billing cycle.
12. Termination
Either party may terminate these Terms as follows:
- Termination by Customer. You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing cycle.
- Termination by Culture Wheel for Convenience. We may terminate your subscription with 30 days' prior written notice. In this case, we will refund any prepaid fees for the unused portion of your subscription.
- Termination for Cause. Either party may terminate these Terms immediately upon written notice if the other party materially breaches these Terms and fails to cure such breach within 15 days of receiving written notice of the breach.
- Suspension for Violation. Culture Wheel may immediately suspend or terminate access to the Service without notice if we reasonably determine that your use poses a security risk, violates applicable law, or constitutes a material violation of the acceptable use provisions in Section 7.
Upon termination, your right to access the Service ceases immediately (subject to the data export window described in Section 13). Any provisions of these Terms that by their nature should survive termination will survive, including Sections 6, 8, 9, 14, 15, 16, and 17.
13. Data Export & Portability
Culture Wheel believes you should always have access to your own data. During the term of your subscription, you may export your Customer Data at any time using the built-in export tools available within the Service.
Upon termination or expiration of your subscription, you will have a 30-day data export window during which you may download your Customer Data. During this window, you will retain read-only access to the Service for the sole purpose of exporting your data. Exports are available in standard formats (CSV, JSON, or PDF as applicable).
After the 30-day export window has expired, Culture Wheel will delete your Customer Data from our production systems within 30 additional days. Residual copies in encrypted backups will be overwritten in accordance with our standard backup rotation schedule, which does not exceed 90 days.
14. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CULTURE WHEEL DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
Without limiting the foregoing, Culture Wheel does not warrant that:
- The Service will meet your specific requirements or expectations.
- The use of performance reviews, 360 feedback, peer recognition, or any other feature will result in improved employee performance, engagement, retention, or any particular business outcome.
- DISC assessment results or eNPS scores will be accurate predictors of employee behavior, satisfaction, or future performance.
- The Service will be uninterrupted, timely, secure, or error-free.
- Any errors or defects in the Service will be corrected within any particular timeframe.
Culture Wheel is a platform that facilitates feedback and recognition processes. The value of any feedback, review, or assessment depends on the quality of input provided by your organization's participants. We are not responsible for HR decisions made based on data collected through the Service.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CULTURE WHEEL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF CULTURE WHEEL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
CULTURE WHEEL'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO CULTURE WHEEL DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IF YOU HAVE NOT PAID ANY FEES DURING THAT PERIOD (E.G., DURING A FREE TRIAL), CULTURE WHEEL'S TOTAL LIABILITY SHALL NOT EXCEED FIFTY U.S. DOLLARS ($50.00).
The limitations in this section apply to all claims in the aggregate, not on a per-claim basis. The existence of more than one claim does not enlarge this limit. These limitations shall apply notwithstanding any failure of essential purpose of any limited remedy.
16. Indemnification
Customer Indemnification. You agree to indemnify, defend, and hold harmless Culture Wheel and its officers, directors, employees, and agents from and against any and all third-party claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your breach of these Terms; (b) your use of the Service in violation of applicable law; (c) Customer Data or other content submitted through the Service; or (d) your End Users' use of the Service.
Culture Wheel Indemnification. Culture Wheel agrees to indemnify, defend, and hold harmless Customer from and against any third-party claims alleging that the Service, as provided by Culture Wheel and used in accordance with these Terms, infringes a valid United States patent, copyright, or trademark of such third party. This obligation does not apply to claims arising from: (a) modifications to the Service made by anyone other than Culture Wheel; (b) combination of the Service with products, services, or technologies not provided by Culture Wheel; or (c) use of the Service other than as authorized under these Terms.
The indemnified party shall: (i) promptly notify the indemnifying party in writing of any claim; (ii) provide reasonable cooperation in the defense of the claim at the indemnifying party's expense; and (iii) grant the indemnifying party sole control over the defense and settlement of the claim, provided that no settlement may impose any obligation on the indemnified party without its prior written consent.
17. Governing Law & Disputes
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
Informal Resolution. Before initiating any formal dispute resolution proceeding, either party agrees to first attempt to resolve the dispute informally by contacting the other party and engaging in good-faith negotiations for a period of at least 30 days.
Binding Arbitration. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, that cannot be resolved through informal negotiation shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in Wilmington, Delaware. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
Class Action Waiver. To the fullest extent permitted by law, all claims must be brought in the parties' individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one party's claims.
Exceptions. Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights or Confidential Information.
18. Miscellaneous
Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Culture Wheel regarding the Service and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning its subject matter.
Severability. If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction or arbitrator, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.
Waiver. The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by the waiving party.
Assignment. You may not assign or transfer these Terms or your rights or obligations hereunder without the prior written consent of Culture Wheel. Culture Wheel may assign these Terms in connection with a merger, acquisition, reorganization, or sale of substantially all of its assets without your consent. Any purported assignment in violation of this section is void.
Force Majeure. Neither party shall be liable for any delay or failure to perform its obligations under these Terms (except payment obligations) due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, pandemics, infrastructure failures, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
Notices. All notices under these Terms must be in writing and shall be deemed given when: (a) delivered personally; (b) sent by confirmed email; or (c) sent by nationally recognized overnight courier to the address associated with your account (for notices to Customer) or to Culture Wheel, Inc., Attn: Legal Department (for notices to us). Culture Wheel may also provide notices through the Service interface.
Independent Contractors. The relationship between Culture Wheel and Customer is that of independent contractors. Nothing in these Terms shall be construed to create a partnership, joint venture, agency, or employment relationship between the parties.
No Third-Party Beneficiaries. These Terms are intended for the benefit of the parties hereto and their respective permitted successors and assigns, and are not for the benefit of, nor may any provision be enforced by, any other person or entity. End Users are not third-party beneficiaries of these Terms.
Export Compliance. You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce, trade and economic sanctions maintained by OFAC, and the International Traffic in Arms Regulations maintained by the U.S. Department of State.
